We are seeking a talented individual to join our Legal, Compliance & Public Affairs team at Marsh McLennan. This role will be based in Boston or New York City, and it is a hybrid role with a requirement of working at least three days a week in the office.
As Lead Counsel, Trading and Derivatives, US & Canada, you will be responsible for providing expert legal advice and support on a wide range of matters relating to the firm's trading activities and derivatives transactions. The successful candidate will work closely with the firm's US trading desk, investment team, operations team, risk management, compliance, and other stakeholders to promote legal and regulatory compliance, manage transactional documentation, and mitigate legal risks associated with derivatives and trading activities.
Responsibilities
Provide legal advice and support on trading activities and derivatives transactions, including OTC derivatives, exchange‑traded derivatives, swaps, options, futures, and similar instruments.
Draft, review, negotiate, and manage derivatives and trading documentation such as ISDA Master Agreements, Global Master Repurchase Agreements (GMRAs), Credit Support Annexes (CSAs), clearing agreements, Cleared Derivatives Execution Agreements, futures & options trading arrangements and other related contracts.
Advise on regulatory and compliance matters related to derivatives and trading activities, including relevant US and Canadian Securities and Commodities Laws and regulations, Dodd‑Frank, EMIR, and other relevant regulations.
Collaborate with trading, investment, risk, compliance, and operations teams to identify and mitigate legal risks in trading strategies and product development.
Monitor and interpret changes in laws and regulations affecting derivatives and trading, and communicate implications to relevant business units.
Assist in the development and implementation of internal policies, procedures, and controls related to derivatives and trading.
Provide training and guidance to internal teams on legal and regulatory issues in derivatives and trading.
Liaise with external counsel, regulators, and industry bodies as necessary.
What you need to have
JD from a US accredited law school and license to practice, in good standing, in at least one of the fifty states.
Minimum of 5 years of experience advising on derivatives, trading, and financial products, at a law firm, regulator or SRO, or in‑house legal department of a financial institution.

Supervises the planning, development and implementation of treatment programs contracted to VitalCore.
Provides clinical and/or administrative supervision to staff of Behavioral Health Services within Secure Treatment Units.
Monitors efforts of Behavioral Health Services in Secure Treatment Units to ensure clinical services are being provided in a timely, professional manner.
Provides and assigns clinical on-call duties.
Provides direct clinical services including individual and group treatment, crisis intervention, as well as providing shadowing and mentor opportunities to front-line clinical staff.
Ensures treatment programs contracted are integrated and appropriately staffed.
Provides administrative support to behavioral health staff.
Coordinates with the facility's Behavioral Health Quality Improvement Program.
Attends training and meetings as required.
Maintain proficiency with all software required for the position, and more specifically, clinical documentation in the designated electronic health record system.
Other duties as assigned.

Summary
HHMI is seeking a Contracts Counsel for its Office of the General Counsel (OGC) to help support HHMI's programs and operations by providing informed, practical, creative, and timely legal counsel in the review and negotiation of research‑related agreements. As a member of the dynamic team in HHMI's OGC, you will be directly involved in HHMI's mission of advancing biomedical research for the benefit of humanity.
The person in this role will review and negotiate contracts relating to the conduct of research in HHMI laboratories. These contracts include agreements covering the transfer of reagents and other materials into and from HHMI laboratories (inbound and outgoing Materials Transfer Agreements or MTAs and MTOs). In addition, the Contracts Counsel ensures that inter‑institutional agreements (IIAs) and licenses entered into by third‑party research institutions that relate to technology developed in HHMI laboratories are consistent with HHMI's policies and interests. The Contracts Counsel will work closely with other OGC staff, HHMI scientific management, HHMI laboratory heads and staff, and research institution staff to efficiently resolve issues relating to MTAs, MTOs, IIAs, and licenses.
This position reports to the Deputy General Counsel and works under the general supervision of the Deputy General Counsel and one Senior Contracts Counsel. We will consider either remote or hybrid working arrangements, given the candidate's preference.

What you will do

Advise HHMI laboratory heads and laboratory staff regarding legal obligations under MTAs;
Educate laboratory heads, laboratory staff, research institutions staff, and others involved in the MTA process on HHMI policies as they relate to MTAs;
Work collaboratively in the MTLR group to resolve legal and practical issues arising in MTA negotiation and processing.
Perform MTO Review: review and edit MTOs and advise assigned institutions as needed on questions relating to MTOs, such as MTO terms acceptable to HHMI.
Perform IIA and License Review: provide timely comments to assigned research institutions on IIAs, options, and licenses, consistent with HHMI policies.
Consult and coordinate with others in OGC and at HHMI, including Senior Director‑Scientific Officers and Senior Director‑Scientific Program Officers, as appropriate, on MTA, MTO, and license issues.
Update and maintain electronic databases associated with MTAs, MTOs, and licenses in a timely manner.
Assist the MTLR group and other OGC staff in suggesting, evaluating, documenting, and implementing improvements to HHMI procedures and practices for handling MTAs, MTOs, and licenses.
Maintain a current knowledge of legal issues and current practices in the scientific community relevant to MTAs, MTOs, and licenses, including through participation in continuing legal education and membership in appropriate bar and professional associations. As opportunities arise, support efforts of HHMI laboratories and the broader scientific community to promote the availability of reagents and other research materials.
What you bring
Juris Doctor (J.D.) degree.
Active membership in good standing with an established bar required.
A minimum of three years of experience as an attorney in private practice or in a corporate, nonprofit, or government legal department.
At least two years of experience drafting and negotiating contracts. Experience drafting and negotiating contracts relating to life sciences research and/or intellectual property is a plus.
Strong analytical, problem‑solving, judgment, and decision‑making skills, with the ability to manage multiple priorities effectively.
Excellent written and verbal communication skills, with the ability to communicate effectively with scientists, senior management, colleagues, and outside counsel.
Interest in learning new subject matter, developing proficiency with legal and information systems, and supporting the work of HHMI scientists and grantees.

The Role
We are looking for a passionate, aggressive, and skilled IP lawyer to serve as Lead Counsel, IP. Scope of Duties:

Collaborates with GLFHC clinical staff and administration to develop and maintain referral resources throughout service area. Refers patients to services within GLFHC and to other community agencies.
Develops working relationship with leaders and community agencies, representing GLFHC at meetings as indicated.
Demonstrates clinical competence and professional commitment by adhering to established standards of practice and utilizing appropriate scientific principles.

AGENCY OVERVIEW
The Committee for Public Counsel Services (CPCS) is the state agency in Massachusetts responsible for providing an attorney when the state or federal constitution or a state statute requires the appointment of an attorney for a person who cannot afford to retain one. The agency provides representation in criminal, delinquency, youthful offender, child welfare, guardianship, mental health, sexually dangerous person, and sex offender registry cases, as well as in appeals and post-conviction and post-judgment proceedings related to those matters.
UNIT OVERVIEWS
Alternative Commitment & Registration Support Unit
The summer internship with ACRSU offers one to two second-year law students the opportunity to fully litigate a client's case from assignment through to the final administrative hearing before the Sex Offender Registry Board. Interns will also help with legal research, observe Superior Court trials, visit incarcerated clients, review psychological and scientific studies, and assist with other projects. The ACRSU is committed to ensuring that every indigent adult and youth in Massachusetts has access to zealous legal representation when facing sexually dangerous person civil commitment trials and sex offender registry board classification proceedings. Emerging issues include disparate impact of proceedings on minorities, propriety of proceeding against individuals who are juveniles or were juveniles at the time of past crimes, and enforcement of due process guarantees.
Innocence Program
This unit is devoted to identifying and fighting wrongful convictions in all counties across Massachusetts. Innocence Program staff and private panel attorneys represent indigent defendants who have been convicted and punished for crimes they did not commit. The Innocence Program accepts both DNA and non-DNA based innocence claims, with special attention to cases involving eyewitness identification evidence, police misconduct, flawed or invalidated forensic science testimony, and false confessions. Legal interns will work closely with the program director, staff attorneys, legal fellows, paralegal and administrative assistant to screen cases, provide litigation support, work on related granted funded collaborative projects, and assist in drafting trial and appellate court filings for any active litigation. Interns will also have the opportunity to attend court for any hearings or arguments.
Parole Advocacy Unit
The Parole Advocacy Unit advocates for incarcerated people who need assistance with parole or medical parole release. In addition to training, assigning, and supporting private counsel, the unit handles cases and serves as a point of contact for prisoners, their loved ones, and attorneys with questions about parole, medical parole, and incarceration. The Parole Advocacy Unit consists of a Director, a Staff Attorney, and an Administrative Assistant. Interns will help the Unit's attorneys by screening clients for access to counsel, helping on staff cases at various stages of representation, and conducting needed legal research in this emerging area of law.
Private Counsel Criminal Appeals
The Criminal Appeals Unit assigns attorneys to adult, criminal, post-conviction cases and oversees panel attorneys who litigate these cases. Interns should be law students and will assist lawyers on some developing and pivotal legal issues by drafting responses to inquiries, research, writing, review of documents, and preparing discovery packets.
Special Projects Unit
The Special Projects Unit (SPU) is part of the Private Counsel Division Criminal Appeals Unit. This unit assigns cases to criminal post-conviction clients when there have been developments in the law that have a widespread impact on CPCS post-conviction clients and may provide grounds for undoing a conviction, notifies clients and attorneys about these developments and, in some cases, litigates these issues. For more information, please see our webpage at *************************************************************************** Of special note, Summer Interns will be asked to assist in preparation for direct litigation which will involve seeking and reviewing discovery and related legal research and assisting with preparation for an evidentiary hearing.
Strategic Litigation Unit
Interns will collaborate with experienced lawyers responsible for pursuing litigation to address systemic issues of injustice CPCS clients face daily. This unit also assists attorneys from other CPCS units with cases of strategic importance and therefore involves both criminal and civil litigation, at both the trial and appellate levels. Interns will work with lawyers on various tasks depending on what is happening at the time including, but not limited to, researching and writing advisory memoranda on issues of systemic importance, helping with the research for and editing of briefs, and reviewing cases and other materials for inclusion in a police misconduct database.
Qualifications

General Statement of the Position, Duties, and Responsibilities
The Office of the General Counsel of the Massachusetts Division of Capital Asset Management and Maintenance (DCAMM) is offering a legal internship in the Office of the General Counsel to law students for Summer 2026. This is a paid position with the Commonwealth. DCAMM will consider applications for a full-time placement (a co-op type position) for Summer 2026.
