GENERAL DESCRIPTION
TJJD addresses the multiple and complex needs of the youth committed to the agency as well as their families through a trauma informed multidisciplinary integrated approach that includes implementation of the agency approved Texas Model and a Mental Health Treatment Program (MHTP). The MHTP provides enhanced psychiatric and psychological assistance to youth who have been diagnosed with moderate to severe mental health problems and/or illnesses, which allows the general rehabilitation case managers to focus on risk reduction and protective factor enhancement strategies in order to reduce the risk of reoffending. This collaboration allows for holistic and individualized treatment of youth in need of MHTP services.
Performs entry-level psychological work. Work involves assisting in planning, organizing, coordinating, and monitoring specialized treatment programs. Assists in meeting program goals and objectives; and provides Mental Health Services to youth. Implements and adheres to program standards; and fiscal, personnel, and legal policies.
Works under close supervision, with minimal latitude for the use of initiative and independent judgment. May be required to work in excess of 40 hours per work week.
ESSENTIAL FUNCTIONS
Facilitates treatment groups.
Participates in Youth Service Team Meetings.
Participates in implementation of behavior interventions and treatment plans.
Assists in administering, scoring, analyzing, results of non-projective and performance tests.
Assists in performing diagnostic and treatment functions.
May assist with psychological research projects and program evaluations.
May assist assigned therapist with family involvement.

The Compliance Counsel will provide guidance on regulatory obligations, risk mitigation activities, and adherence to applicable laws, regulations, and internal policies as they apply to company operations. Provide advice and guidance on a wide range of legal and regulatory requirements applicable to the technology, defense, and maritime sectors.
Design, develop, implement, and maintain compliance process as necessary to meet business needs.
Monitor law, regulation, and policy to advise on operational impacts and opportunities for policy reform.
Support any required filings and coordinate with government authorities as needed.
Identify, assess, and address risk associated with business operations, vendors, and third-parties.
Coordinate with the team to prepare work product for employees and leadership as needed, including operational guidance/documentation, policies/procedures, and trainings.
Partner with internal stakeholders to ensure their needs are being met, and that operational processes align with legal and compliance requirements.
Coordinate and supervise outside counsel as needed.
Required Qualifications:
Active membership in good standing with at least one U.S. state bar
3+ years of law practice experience
Experience working with regulatory regimes and compliance programs
This role requires the ability to obtain and maintain a security clearance
Preferred Qualifications:
Prior in-house compliance or regulatory experience
Experience with the ITAR/EAR and export compliance
Experience building and scaling compliance programs
Experience interfacing with regulators, investigators/enforcement, or auditors

The successful candidate will be responsible for
Commercial Agreements
Drafting and negotiating complex commercial agreements (confidentiality, master service agreements, change orders, T&Cs, customer offtake agreements, technology licensing agreements).
Ensuring accurate documentation and tracking of contractual terms and risk exposure.
Managing outside counsel relationships to ensure access to high-quality, cost-effective subject matter expertise and specialized support.
Assisting with vendor KYC and compliance matters.
Internal and External Partnerships
Partnering closely with Sales, Engineering, Procurement and Executive leadership to provide counsel on commercial contracts with customers, vendors, and partners. Develop template forms and playbooks for commercial transactions.

Responding promptly to legal questions and requests from various stakeholders in the business.
Assisting with special projects as needed, including projects focused on the development, implementation and improvement of contracting workflows and contract lifecycle management.
Compliance
Tracking regulatory compliance and staying up to date on trends affecting the energy industry, especially as it pertains to lithium. Experience in the energy industry is a plus!

The Role
Jupiter seeks to grow its team with the recruitment of a highly motivated attorney to serve as Offtake Counsel, reporting directly to the General Counsel. The ideal candidate will have experience in a broad range of legal disciplines, project development and operations, project finance and tax equity, trading activities and associated agreements and transactional work, preferably in the renewable energy, battery energy storage and/or power markets. The successful candidate will be able to work on a range of legal issues for the company, as well as business and strategy matters.
Responsibilities
Negotiate, draft, and advise on commercial power contracts including complex offtake, power purchase agreements and hedging transactions (virtual and physical), energy management agreements, registration with commodity brokers, transactions under ISDAs, EEI and the related confirmations, tolling transactions, capacity purchase transactions, and supporting parent guarantees/credit support.
Advise on finance ability of commercial transactions.
Work with the origination, engineering, asset management, and market operations teams to understand the operation of battery energy storage systems for advising on applicable agreements.
Advise market operations on operational matters including the negotiation of qualified scheduling entity contracts and related matters.
Advising on the Companys risk policy for planning, forecasting, procurement, trading, buying, selling, and scheduling of energy, ancillary services, and capacity products.
Advise on trading activities and draft associated agreements.
Provide legal support to Jupiters development, construction, finance, operations, corporate, compliance and trading teams as needed.
Draft, review and negotiate legal agreements spanning project, corporate, M&A and transactional areas.
Advise and work on other areas of legal matters as needed including garden variety agreements.
Hire and manage outside legal counsel and billings.

Compensation & Benefits
$170,000 - $200,000
This pay range reflects the minimum and maximum target salary for the position. Jupiter Power considers a number of factors when determining starting compensation such as the position requirements and the candidate's qualifications.
