Responsibilities
Perform compilations and reviews of financial statements
Perform attestation services including, but not limited to, cash, property and equipment, accounts payable, income and expense analysis, and accrued liabilities
Assist with initial preparation of client files and engagement letters
Support clients with accounting assistance including adjusting journal entries
Research technical issues
Verify the validity and accuracy of client financial matters
Requirements
Bachelor's or master's degree in accounting and/or 150 credit hours
0-3 years of accounting experience
Minimum 3.0 GPA and a solid track record of academic achievements

Job Description
Boulay, PLLP seeks a Manager (Valuation) in Minneapolis, MN to manage and grow our Valuation service line and be responsible for managing and executing both business valuation engagements, including valuation and calculations engagements, and various related consulting engagements. This position is key in helping our clients, and their advisors, understand and evaluate complex business concepts and develop supportable analysis. This position is responsible for leading project scheduling and coordination of most projects, developing staff, and involves working cross-departmentally with other Boulay Departments (most typically audit and tax) to effectively accomplish projects and tasks. Tasks are typically conducted with minimal direct supervision but under the direction of a Partner, Senior Manager or directly from the client.
The specific position responsibilities include:
· Plan and lead projects, including running client meetings and explaining deliverables;
· Be communicative with clients and staff, which may require some meetings or work outside of traditional business hours;
· Ensure that “best practices” are developed and used, including policies, processes, and tools;
· Stay current of key valuation trends/changes, relevant court cases, and other legal/regulatory changes related to valuation issues;
· Be a key member of the Transaction Group with a shared vision, coach and motivate team members, and build a spirit of trust within the team;
· Oversee and manage budget on assigned engagements;
· Assume the role of Primary Advisor as needed by assisting less experienced staff, assigning and overseeing work, sharing knowledge and providing feedback, serving as a role model, and assisting in recruiting, performance evaluations, developing training resources, and acting as an instructor in professional development programs; and
· Demonstrate competency of technical skills, work quality, and the application of professional and Firm standards;

· Develop professionally and offer specialized knowledge in a particular industry or service area;

Requirements
We require a Bachelor's Degree in Finance, Accounting, Economics, or a closely related field. We require a credential demonstrating valuation knowledge (CPA, CVA, ABV, ASA, AM, or CFA). We require two years of experience managing valuation analysis on public and private entities, and intangible assets including trademarks and non-compete agreements. This experience must include performing valuations used to comply with Accounting Standards Codification 805, 718, 820, and 350, and common stock valuations (IRC 409A). We require two years of working with the following programs/databases: CapitalIQ; Macabacus; and Microsoft Excel and PowerPoint. The two years of experience must include: responsibility for deliverables including engagement proposals to senior team members and clients; project management; and preparing reports compliant with industry guidelines and USPAP (Uniform Standards of Professional Appraisal Practice).

Determine required chemical treatment requirements and perform manual additions to systems without automated treatment systems.
Set up, operate and read precision testing and measuring instruments to the instrument manufacturer's specifications and to the degree of accuracy required. Precision testing and measuring instruments include devices such as leak detectors, pressure gages, thermometers, psychrometers, velometers, and similar instruments.
Your Skills and Expertise

Responsibilities:
Advise clients on how to maximize opportunities and minimize risks related to mergers and acquisitions and providerecommendations in the context of deal structuring alternatives
Manage and work on multiple projects of varying size and complexity related to due diligence and consulting for business owners,private equity groups, search funds, and family offices
Develop detailed reports and perform complex analyses, including the analysis of cash flows, quality of assets and earnings,working capital, potential liabilities and risks, and the impact of findings on the purchase price of the target organization
Play an integral role in developing relationships with current and prospective clients, identify market opportunities and articulate ourvalue proposition
Responsible for engagement management, including preparing and presenting accounting findings and concepts
Possess the ability to review and provide feedback regarding project reports prepared by engagement team members
Ensure that “best practices” are developed and used within the Transaction Group, including policies, processes, and tools
Requirements
Bachelor's degree in Finance, Economics, Accounting or a related business degree
Minimum of 2 years of experience in Audit, Attest or Transaction Advisory practice
Strong knowledge of generally accepted accounting principles (GAAP)
Experience serving business owners, private equity groups, family offices and individual investors
Extensive experience in project management, including planning, organizing, coordinating, and managing staff
Ability to be a self-starter and be confident when interacting with clients
Strong business development mindset: relationship management skills and the ability to influence/negotiate deals
Proficiency with Microsoft Office, particularly Excel and PowerPoint
Ability to creatively solve problems and analyze client data
Strong interpersonal skills, a team-based attitude, and a desire to collaborate
Preferred:
CPA or equivalent.
Certifications including the CVA, CM&AA, or CFA.
Strong experience with quality of earnings, due diligence, and deal structure strategies
Excellent knowledge of financial reporting principles affecting M&A activities
The annual salary range for this position is: $78,000 - $110,000. This salary range reflects the anticipated responsibilities and qualifications of a successful candidate for this role. Final compensation may vary depending upon an individual's experience, knowledge, and skills. Individuals may be eligible for additional compensation in the form of incentives, commissions, profit sharing, and more, depending on the role. Responsibilities
We are currently seeking a Commercial Closing Specialist that works with the Relationship Managers (RM) in the Commercial lines of business to provide loan processing support and coordinate all new money and renewal requests. Listed below you will find a few characteristics the position requires:
* Must become proficient in the commercial online application system (CML) loan structuring guidelines, collateral requirements, due diligence items and banking processes is preferred, but not required.
* Provides an appropriate review of entity documents, appraisals, title insurance, UCC Searches and other required supporting documentation to ensure proper signor authorities and lien position.
* Must communicate effectively with other members of the Loan Fulfillment team, RMs, Banking Specialists, Credit Underwriters, in-house Legal Counsel, and Loan Operations to resolve any issues or questions.
* Requires a high level of decision-making capabilities and exception processing capability.
Salary Range
The salary range for this position is $18.25 /Hr. - $29.75/Hr. Final compensation will be determined by location, skills, experience, qualifications and the career level at which the position is filled.
Key Accountabilities
Loan Processing:
* Reviews and inputs loan submissions from RMs in CML including ownership, loan structure and compliance needs; responsible for complete and accurate data entry in CML.
* Communicates with the RM to gather additional information necessary to deem the application as complete and ready for underwriting.
* Completes loan pre-closing tasks including ordering appraisals, environment reports, and title/UCC searches; performs a detailed and thorough review of entity documents, title insurance, UCC searches, flood determinations, and other supporting documentation.
* Collaborates with RM to ensure all conditions precedent to closing required by credit are met.
* Reviews existing loan documents for accuracy and compliance with loan guidelines.
* Finalizes post-approval in CML
* Communicates with underwriting, Line of Business Executives and Credit Administration to address policy exceptions
Preparation of Loan Documents:
* Utilizes Loan Guidelines and commercial procedures to ensure documents are prepared in accordance with approval document.
* Utilizes special loan software to produce accurate and complete loan documents.
* Prepares template documents outside of loan software (i.e. Rate Modifications & Due Date Changes)
Service:
* Ability to prioritize large pipelines to ensure adherence to service level expectations.
* Exhibits flexibility in response to the changing banking environment.
* Ability to work in a fast-paced environment.
* Provides options and solutions when issues arise.
Skills and Qualifications
* Associate or bachelor's degree preferred but not required.
* Knowledge of loan documents and experience with loan processing
* Knowledge of ONB loan policy and Commercial Guidelines preferred but not required.
* Highly organized with a strong attention to detail.
* Strong analytical and problem resolution skills.
* Excellent verbal and written communication skills.
* Must have experience working in a fast-paced office environment with service level expectations.
