PURPOSE: The Assistant General Counsel II provides a complete range of highly specialized legal services in support of the General Counsel, Deputy General Counsel, Director, Managing Assistant General Counsel, and executive management in the Division(s) to which the Assistant General Counsel is assigned, and may represent CareFirst, Inc., its subsidiaries, and/or affiliates ("the Corporation") in litigation brought by and or against it. The Senior position is expected to work independently and provide high-level executive support. This position will support the Company's care delivery operations, including comprehensive representation of various provider entities.
ESSENTIAL FUNCTIONS: Legal Advice
Provides written and oral advice directly to executive management and/or their designees in complex and rapidly evolving areas of the law. Analyzes and provides legal guidance on a wide range of regulatory, contractual and operational matters, including the interpretation and implementation of legislation. Provides clear, succinct, and actionable written advice to key executive stakeholders that reflects full understanding of the pertinent operations of the Division(s) to which assigned. Renders legal guidance to counsel supporting other Divisions in specialized areas of expertise.
Contract Drafting and Negotiation
Provides advice and counsel to executive management and/or their designees on contractual matters, including issues arising from alliances and partnerships with, and investments in, start-up and established companies. Negotiates and draft managed care and other payor contracts to support the care delivery function. Provides strategic analysis of available alternatives and associated legal risks. Drafts, analyzes, and negotiates contracts and complex agreements involving multiple companies and significant financial resources with outside vendors. Represents the Company in disputes and/or negotiations arising from contractual relationships and/or performance.
Strategic Legal Counseling
Provides advice and counsel directly to executive management and/or their designees on all legal issues affecting the Companys care delivery function and operations and assists in development of business strategies within legal constraints.Provides strategic direction and guidance to Associate General Counsel and legal support staff based on corporate initiatives and allocates resources based on established priorities. Evaluates divisional initiatives and represents the Corporation's legal interests on intercompany management/executive committees.
External Representation
Represents the Corporation's legal interests by interfacing with opposing counsel and regulatory agencies on issues having significant impact on company operations and/or finances. Supports clients in managing communications with external parties in areas of conflict. Builds and maintains key regulatory relationships related to matters that primarily affect the Division assigned. Represents the company on legal issues arising from regulatory investigations, subpoenas, or external audits.
Management and Supervision
Manages the operations of the area(s) of the Legal Department assigned, including directing internal/external customers to appropriate areas of the company and/or legal department, as appropriate. Manages Associate General Counsel and/or legal support staff, including supervision of attorneys or staff, conducting performance evaluations and resolving personnel related issues, at one or more sites in addressing the needs of the Division(s) and/or in representing the corporations in legal proceedings brought by and against the Corporation.
Corporate Governance
Provides legal guidance to executive management regarding corporate governance issues and corporate transactional matters, including mergers, acquisitions and/or investments. May perform corporate secretarial duties for subsidiary board(s), as appropriate.
QUALIFICATIONS:
Education Level: Juris Doctor
Licenses/Certifications:
Bar Admission to the MD or DC Bar within 1 Year Required.
Experience: 8 years experience as an attorney required and at least 3 years experience as a lawyer representing clients in health care, insurance, health related technology, information technology, government contracting, or related field. Candidates with fewer than the required years of experience as an attorney, but other significant experience in a legal position, may be considered.
Preferred Qualifications:
Demonstrated expertise in advising clients in a complex regulatory environment. Demonstrated leadership within a legal department or organization. Prior experience managing other attorneys or legal support staff.
Prior experience advising provider or care delivery organizations is preferred.

Oversees the filing of proofs of claim in bankruptcy matters to ensure that the corporation's financial interests are adequately protected, as well as supports Assistant General Counsel by analyzing business operations and recommending and implementing processes to maximize effectiveness of legal resources. Provides guidance to Paralegals and Legal Assistants with respect to legal research projects and drafting of memoranda.

The salary range for this role is $124,500 to $239,400 annually based on full-time employment. The Associate General Counsel works with the health plan, state regulatory and enforcement agencies, and trade associations to foster effective communication and collaborative relationships. This role ensures regulatory alignment by coordinating with internal colleagues to maintain operational and procedural compliance with state and federal requirements. This individual will work with internal teams and regulators to address inquiries, clarify regulatory requirements, and facilitate constructive dialogue on the interpretation and application of health insurance laws, regulations, and regulatory guidance. This individual will also assist in the collection, analysis, and presentation of written discovery in administrative enforcement matters and relevant information for required reports, including license filings, appeals and complaints reporting, surveys and routine scheduled examinations. The Associate General Counsel will provide strategic guidance and triage complex compliance issues escalated by internal teams to ensure timely and effective resolution. The ideal candidate will demonstrate solid regulatory expertise, exceptional communication skills, and the ability to manage cross-functional initiatives in a dynamic regulatory environment.

Primary Responsibilities
Execute delivery of legal services and related support to Employer and Individual business
Collaborate with colleagues across the UnitedHealth Group legal department
Proactively identify and resolve legal and related matters
Assist in the review, preparation and negotiation of various products, documents and contracts
Develop best practices for addressing emerging legal and business risks
Support the development and delivery of new products and pharmacy initiatives
Counsel senior management on strategic business initiatives
Foster key regulatory relationships

Required Qualifications
Juris Doctorate degree with an active license to practice law in at least one state
4+ years of professional legal experience
Demonstrated relevant legal experience in health, law, commercial insurance, pharmacy, litigation, provider or health care legal support
Demonstrated expertise, judgement and presence to advise senior leadership on legal matters
Ability to provide timely and responsive legal support for business partners
Preferred Qualifications
Experience with regulatory agencies and administrative experience with state insurance regulations
Excellent understanding of health insurance and/or managed care industry
Legal experience in commercial health insurance
Demonstrated understanding of business problems and ability to evaluate and determine appropriate legal course of action to meet business unit needs
Proven success in collaborating across a large, matrixed business and legal environment

To protect and promote the interests of Farm Bureau members specifically, and agricultural and rural interests in general, as a spokesperson for Michigan agriculture on state issues. To be accomplished by implementation of Farm Bureau policies through the enactment and administration of state legislation and regulations.
RESPONSIBILITIES
Associate Legislative Counsel Responsibilities
Assist with the development of policy at the county and state level. Disseminate information and training on policy development techniques and "probable issues" to individual Farm Bureau members, county Farm Bureaus, county policy development and other committees, state Policy Development Committee, State Young Farmer Committee, Michigan Farm Bureau Commodity Advisory Committees and other state committees, Regional Representatives, and voting delegates at the Michigan Farm Bureau annual meeting that will result in sound policies which are the platform for all Farm Bureau activities.
Assist in the conduct of statewide, regional, or district policy development meetings for county Farm Bureau leaders.
Research appropriate issues and prepare training materials and information on issues to assist in the development of policies.
Assist in coordinating activities of state and county Farm Bureau officers and board of directors, Michigan Farm Bureau Legislative Committee, Michigan Farm Bureau staff, county Public Policy Committees, state and county Young Farmer Committees, and other county and state committees that may be involved in implementing Farm Bureau policies on state issues.
Assist in the planning of and conduct the MFB Lansing Legislative Seminar.
Implement policies through research, preparation and promotion of or opposition to legislation and/or regulation on state issues as developed by the membership and determined by voting delegates at the state annual meeting and as interpreted by the state Board of Directors. Work with the Governor and executive office staff, the Michigan Legislature and legislative staff, directors, deputies and staff of departments, agencies, commissions, boards, and other organized groups and individuals to get legislation or rules enacted or defeated. Review all bills within subject matter introduced for potential impact on agriculture and Farm Bureau policy.
QUALIFICATIONS
Associate Legislative Counsel Qualifications
Required
Bachelor's degree required, with preference for an agriculture related field or public affairs management.
Working knowledge of state legislative and regulatory processes normally attained from two to four years' experience in the public policy arena.
Experience with a personal computer.
Strong written and oral communication skills, with the ability to make presentations to a wide range of audiences.
Preferred
Experience in agriculture related field preferred.

Preparing and handling pleadings, motions, and discovery, to include depositions/examinations before trial and examinations under oath, and defending by trial or dispositive hearing, all matters assigned, as applicable
Basic Qualifications:
2 to 6+ years of experience in related field litigation experience in insurance defense and/or personal injury REQUIRED
Juris Doctor degree REQUIRED
Admission to the Georgia bar REQUIRED
Must be licensed in good standing to practice law in Georgia and meet and maintain licensing requirements including mandatory Continuing Legal Education (CLE) requirements where applicable
Must be able to travel as required, including but not limited, to attend trials, hearings, depositions, management meetings and conferences
Must be able to document files in a clear, concise, professional written manner, to be understood by customers, clients, co-workers and other employees of the organization
Must be able to follow complex instructions, resolve conflicts or facilitate conflict resolution, and have strong organization/priority setting and multi-tasking skills
Must be able to learn and apply large amounts of technical and procedural information
Preferred Qualifications:
Civil litigation experience
Insurance defense-related litigation experience
Must be able to communicate in a professional manner in person, via telephone and written correspondence/email
