The difference between a merger vs. an acquisition is that a merger is the combining of two companies that results in the formation of an entirely new organization, while an acquisition is when one company absorbs or purchases another company, but no new organization is formed.
A merger occurs when two companies combine to form an entirely new organization. Each of the companies holds a share of ownership in the new organization. When this happens, both of the former companies are also dissolved. In most cases, new management structures are born after a merger occurs.
