Assistant General Counsel, Technology and Managed Services - Senior Manager

Our General Counsel's Office (GCO) supports EY's business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY's service lines and business enablement functions.
The opportunity
As an Assistant General Counsel for Technology and Managed Services you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client-facing complex, multi-year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software-as-a-service agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing legal advice and support to various other EY technology and product teams (“Technology & Managed Services Agreements”). You will be part of EY's Technology and Managed Services legal group and work closely with other GCO groups in the United States and other jurisdictions. The work is complex, often urgent, and high in volume and requires experience advising and leading negotiations in a supplier-side technology and outsourcing transactional legal role. The role requires a strong background in managed services, outsourcing, and software-as-a-service, current market knowledge related to current and new technologies, and a superior ability to manage multiple competing priorities in a compressed timeframe and to elevate and interact on a regular basis with senior members of the organization.
Key Responsibilities
Drafting/updating and negotiating client-facing Technology & Managed Services Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms.
Coordinating legal resources on managed services projects.
Supporting coordination with cross-functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Technology & Managed Services Agreements.
Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests.
Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products.
Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other GCO members.
Building relationships and teaming seamlessly with other GCO members, within the Legal Practice Groups, as appropriate, to deliver exceptional service to clients of GCO.
Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business, where requested or appropriate.
Qualifications
8+ years of relevant complex services and technology-related transactional experience in a client-facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements.
Experience negotiating across from client's internal counsel, outside law firms, and procurement.
Experience developing contracting templates, playbooks and standards.
Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements.
Experience with cross-border contracting (including employee matters such as auto-transfer laws, local country agreements, and cross-border data transfer).
Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner.
Excellent communication skills, both oral and written.
Excellent negotiation and interpersonal skills.

Competitive Compensation: Base salary range for this role (US) is $210,900 to $406,000. NYC Metro Area, Washington State and California (excluding Sacramento) is $253,100 to $461,400. Individual salaries are determined by education, experience, skills and geography.

Job responsibilities
Provide support, including analysis and advice on structural and risk issues
Review, negotiate and draft credit and collateral documentation, amendments and waivers, indicative term sheets, proposal and commitment letters, intercreditor agreements and confidentiality agreements
Represent ABL in relationships with other syndicate lenders and borrowers, including providing advice on workout credits
Support and maintain outside counsel relationships for ABL; coordinate engagement of ABL outside counsel
Escalate issues as appropriate and share potential concerns, issues, and ideas with legal and control functions across the company
Support and advise the business with respect to treasury management products and client related issues including KYC, privacy, reputational and AML issues which may arise
Advise the business with respect to new products or pricing, marketing, regulatory and related issues impacting financial institutions operating in a multi‑state environment and provide training to the business
Partner with Risk, Controls, and Compliance colleagues regarding operational and regulatory risk and control issues and the applicability of federal and state law and regulation to the business
Required qualifications, capabilities, and skills
JD or educational equivalent required with at least 5 years of post‑JD practicing experience at a law firm and/or in‑house legal department at a large bank or other financial services company
Licensed to practice law and a member in good standing in TX, IL or other approved location, as applicable, or otherwise in compliance with the in‑house counsel registration rules in such state

The worker's compensation practice is located within the state court litigation unit; although it frequently interacts with the Board's Talent Department in order to handle claims filed against the Board in the Worker's Compensation Commission.
Job Summary
Under the supervision of the Deputy General Counsel, with support from the Assistant Deputy General and Senior Assistant General Counsels, the Assistant General Counsel (AGC) will represent CPS in matters pending in the Illinois Workers' Compensation Commission. The AGC will handle workers' compensation cases, working directly with CPS' third-party administrator (CCMSI) to advise on claims handling, strategy, and data analytics, as well as managing related recovery efforts like subrogation and affirmative litigation. The AGC will collaborate and provide guidance to appellate counsel on workers' compensation matters. The AGC will work closely with CPS Talent's workers' compensation manager, CCMSI, and will partner with other stakeholders to coordinate benefits across units. The AGC will provide meaningful counsel to CPS leadership, informing policy decisions and resource allocation. This is a full-time, exempt position that will be paid for time worked on a salary basis.

Key Responsibilities

Strong understanding of the Illinois Mortgage Foreclosure process.
Familiarity with the Illinois Code of Civil Procedure and Illinois Supreme Court Rules.
