RESPONSIBILITIES:
Draft, review, and negotiate customer and commercial agreements, including:
Non-disclosure agreements (NDAs)
Customer subscription and services agreements
Data use agreements (DUAs)
Business associate agreements (BAAs)
Research, pilot, and evaluation agreements
Vendor and service agreements
Statements of work (SOWs)
Renewals and amendments
Advise internal stakeholders on contract terms, risks, and obligations.
Manage contract intake, approval workflows, and execution processes.
Identify legal and business risks in contracts and escalate complex issues to the CLO.
Maintain and update contract templates, clause libraries, and playbooks.
Track contract renewals, expirations, and key obligations to ensure timely action.
Partner cross-functionally with Sales, Finance, Procurement, Operations, and Compliance teams.
Support contract-related compliance requirements in a regulated healthcare environment, including issues related to data privacy.
Assist with legal operations tasks related to contract management, reporting, and document organization.
KEY REQUIREMENTS:
Juris Doctor (JD) from an accredited law school.
Licensed and in good standing with at least one U.S. state bar (or bar admission pending).
1-2 years of legal experience, preferably with exposure to commercial or customer contracts.
Experience in or exposure to a SaaS business model and the healthcare industry a plus.
Knowledge of data privacy concepts, including experience with or exposure to HIPAA regulations, strongly preferred.
Strong understanding of contract structure, common legal terms, and negotiation fundamentals.
Sound judgment with the ability to identify when issues require escalation.
