Responsibilities:
Form, structure, and maintain Florida entities (LLCs/corps), including operating/shareholder agreements, cap table changes, member/stock transfers, and governance.
Draft, review, and negotiate commercial contracts: services, vendor, NDAs, MSAs, asset/stock purchase agreements, and commercial leases.
Lead buy-side and sell-side realestate and business deals from LOI through closing, including diligence, title/survey review, estoppels, payoff statements, closing statements, and post-closing.
Serve as outside general counsel to growth-stage clients: compliance spotting, contract lifecycle management, and risk-weighted advice that keeps deals on track.
Manage a focused docket of business/contract/real-estate disputes, including pleadings, written discovery, deposition support, motion practice, mediations, and negotiated resolutions.
Collaborate with colleagues to align dispute strategy with business objectives, budgets, and settlement/leverage opportunities.
Develop and/or expand a personal book of business consistent with firm strategy, including sourcing, pitching, scoping, and onboarding new corporate and real-estate clients.
Maintain an active Florida CLE plan and ongoing professional development in corporate and real-estate law,
Represent the firm at networking events, speaking engagements, and other opportunities as delegated by the Managing Partner.
Qualifications:
Licensed attorney in good standing with the state and local bar associations.
3-5 years of blended experience in corporate/business law, realestate transactions, and commercial litigation.
Models professionalism and integrity in all interactions with clients, counsel, and staff.
Demonstrated drafting precision and deal management under tight timelines.
Demonstrated skill in pragmatic litigation judgment that converts legal leverage into timely, business-sensible outcomes.

Position Overview:
The Associate will be a key member of a growing team that runs a multi-billion dollar loan origination platform focused on seniors housing, student/multifamily housing, medical office, self-storage, and specialty industrial assets.
Requirements
Responsible for underwriting commercial realestate loans secured by properties in target sectors across the capital structure including first mortgage loans, mezzanine loans, and preferred equity investments.
Participate in all stages of a prospective loan transaction, including due diligence, financial modeling/underwriting, transaction process, syndication, credit approval memo preparation and presentation, legal documentation and post-investment portfolio management:
Complete in-depth analysis of potential borrowers' business models and identify key potential investment risks. Analyze historical financial trends and build projection models covering P&L, balance sheet and cash flow statements, as well as credit ratio analysis.
Perform in-depth market research to support underwriting assumptions.
Review of all third-party technical reports for underwriting.
Prepare investment memorandums and present recommendations and due diligence findings to the investment committee to evaluate credit and return risk.
Manage the loan transaction workflow process and procedures though out the loan life.
Experience in modeling cash flows, pro forma projections, property level returns, and sensitivity analysis of realestate assets
Interact professionally with internal team members, legal and loan origination personnel and externally with borrowers, brokers, bank partners and third-party service providers.
Work along side asset management team in the active management of the loan portfolio, which includes monitoring and reforecasting, future-funding and draw requests, and modifications.
Qualifications:
Education: Bachelor's degree; finance or related field preferred.
Experience: 2 - 7 years of commercial realestate underwriting experience

Your key responsibilities

The base salary range for this job in all geographic locations in the US is $95,200 to $157,100. The base salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $114,200 to $178,500.
